Ex-eBay Whistleblower Alleges Seller Favoritism, Inflated Acquisition Metrics In New Lawsuit
A former eBay Motors employee has taken a decade-long whistleblower case to federal court, alleging he faced retaliation after reporting conflicts of interest involving preferential treatment for an eBay seller and later raising concerns that performance metrics for a 2012 acquisition were being manipulated before being reported to the company's board.
Anson Tse filed suit against eBay September 25 in the Northern District of California, seeking de novo review of claims under the Sarbanes-Oxley Act after previously pursuing the case through the Department of Labor.
Tse worked for eBay from 2007 until 2015, starting as Manager, Enthusiast Vehicles before being promoted to Senior Manager in the Vehicles department and eventually serving as interim head of the Parts & Accessories business.
According to the complaint, the events leading to his whistleblower claims began around 2009 when eBay hired Bain & Company to conduct a study of the Vehicles and Parts & Accessories businesses. Bain consultant David Thawley worked on the project and Tse says he had access to eBay's internal data.
Thawley left Bain in 2010 and started Automotive Accessories Outlet, or AAO, selling automotive parts and accessories on eBay. Later that year, eBay Motors executive Famous Rhodes brought Thawley back as an outside consultant while he continued operating AAO.
Tse alleges AAO received benefits other sellers did not, including special pricing, fee waivers, directed sourcing and eBay resources for marketing and merchandising.
eBay Legal later advised Thawley he could not remain an outside consultant while operating AAO, but Rhodes instead hired him as a full-time eBay employee, according to the complaint. Tse says Thawley continued running AAO and the preferential treatment continued.
Tse alleges the conduct escalated in 2011 and early 2012, including questionable purchase orders involving AAO and money being "parked" with an outside vendor for use as a slush fund supporting Rhodes' campaign for a SEMA board seat and his son's amateur racing activities.
In February 2012, eBay Legal contacted Tse as part of an investigation into Rhodes. Tse says he provided evidence about both men and the investigation resulted in Rhodes and Thawley being terminated for cause, though eBay did not pursue criminal charges.
Tse first filed his Sarbanes-Oxley whistleblower complaint with OSHA in 2015. After OSHA dismissed the case, a Department of Labor Administrative Law Judge also denied his claims following a six-day hearing, though the judge found Tse had engaged in protected whistleblower activity.
The Administrative Review Board affirmed that decision August 31, 2026, but Tse is now seeking de novo review in federal court under a SOX provision allowing employees to leave the administrative process when the Labor Department has not issued a final decision within 180 days. That request may face a timing issue, since the ARB had already issued its final decision before Tse filed suit September 25, despite the complaint saying he gave notice September 8 of his intent to go to federal court "before the Secretary of Labor issued a final decision."
Tse says Rhodes and Thawley were involved in planning the acquisition of automotive catalog and fitment provider WHI Solutions before they were terminated and had developed a relationship with WHI CEO Bryan Murphy. eBay completed the acquisition in May 2012, with the board setting goals and specific metrics management was required to use in reporting its progress.
Tse continued running Parts & Accessories on an interim basis and says the business delivered 21% year-over-year growth in 2012, while he received a "Critical Talent Award" recognizing him as one of eBay's top performers. He was later asked to conduct a secondary evaluation of the expected synergies and says WHI was falling well short of the incremental value that had been projected, which he reported to management and eBay Legal.
Murphy took over in 2013, simultaneously serving as head of eBay Motors and Managing Director of WHI, and Tse alleges the way WHI's performance was measured subsequently changed. He also accuses Murphy of using derogatory language and racial tropes in emails and team meetings.
Although he had been serving as interim head of Parts & Accessories, Tse was passed over when eBay filled the Director-level role in 2014, with Sree Menon taking over his responsibilities and direct reports. Menon initially rated him "Meets Some Expectations" for 2014, but the rating was changed to "Does Not Meet Expectations" during a calibration process led by Murphy.
Tse was then selected for a reduction in force in February 2015 and says the downgraded rating was retaliatory. He also alleges the retaliation continued after he left eBay.
While Tse was being considered for a senior automotive position at Jet.com in 2016, he says unidentified eBay employees provided negative "blind references" and Menon separately gave a negative assessment to eBay Motors founder Simon Rothman despite what Tse describes as eBay's neutral reference policy. Tse says Jet was told he was "overly negative" and "couldn't manage a team."
Jet initially backed away from hiring him but reversed course after speaking with the references he had provided and ultimately hired him at the VP/GM level. He says the delay reduced his stock options and believes the negative eBay feedback later contributed to him being mapped to a lower compensation level after Walmart acquired Jet.
He is seeking reinstatement or front pay, lost compensation and benefits, compensatory damages and attorney fees, and has demanded a jury trial.
WHI remained part of eBay Motors for years afterward. In 2021, eBay Senior Director Jesse Kiefer said he had recently been managing WHI as eBay prepared to make Parts & Accessories the next focus of its vertical strategy. A year later eBay acquired myFitment to bring additional automotive fitment technology and expertise in-house, raising questions about why the technology and resources acquired through WHI had apparently not been enough.

The allegations don't link the disputed WHI metrics to the later myFitment acquisition, but they show questions about WHI's incremental value surfaced almost immediately after the deal.
John Donahoe was CEO when eBay acquired WHI, with founder Pierre Omidyar serving as Chairman of the Board and Thomas Tierney serving as a director. Devin Wenig, who would succeed Donahoe as CEO in 2015, was then President of eBay Marketplaces.
Both Donahoe and Tierney had deep ties to Bain & Company. Donahoe spent more than 20 years at Bain and served as worldwide managing director from 2000 to 2005 before joining eBay, while Tierney had previously served as Bain CEO. eBay itself later credited Tierney with helping develop the company's management team and providing leadership to both eBay and the board.
The complaint does not allege Bain, Donahoe or Tierney participated in or knew about the alleged misconduct. But concerns about where eBay executives' outside relationships intersected with company interests surfaced again later under Wenig.
Scott Cutler joined eBay in 2015 and became VP eBay Americas in 2017 before leaving in February 2019 and taking over as StockX CEO a few months later. StockX co-founder Josh Luber said he met Cutler just two days after StockX launched in 2016 and that Cutler quickly became a friend and “trusted advisor,” raising questions about how closely a senior eBay executive had been engaged with a growing competitor while still at the company.

Omidyar and Tierney were still directors in 2019 when eBay security employees carried out the criminal harassment and stalking campaign targeting EcommerceBytes publishers Ina and David Steiner. By then Tierney was board chair and Wenig was CEO and also a director.
Paul Pressler and Perry Traquina, who both joined the board in 2015, and Adriane Brown, who joined in 2017, were also serving in 2019. All three remain on the board today. Pressler is now Chairman and heads the Corporate Governance and Nominating Committee, while Traquina chairs the Risk Committee and serves on Audit.
eBay admitted criminal responsibility for the 2019 stalking campaign in 2024, agreeing to pay the maximum $3 million criminal penalty and submit to three years of independent compliance monitoring under a deferred prosecution agreement with the Department of Justice.
The Steiners' civil case ended this year with a $55.7 million settlement involving eBay and former executives Devin Wenig, Steve Wymer and Wendy Jones, with eBay contributing $46.15 million.

Tse's case also arrives after several other former employees have accused eBay of retaliation for raising concerns internally. Earlier this year, former employee Paige Williams sued eBay alleging she had raised concerns about manipulation of metrics or reporting related to Promoted Listings and later provided information to the SEC.

eBay sought to force that case into arbitration, but the suit was ultimately dismissed without prejudice after Williams stopped participating and failed to meet court deadlines, leaving the allegations unresolved on their merits.
But Tse's allegations are unusual because the concerns he says prompted the retaliation were tied directly to marketplace seller treatment, acquisition economics and information provided to eBay's board.
M&A due diligence has also become a recurring issue for eBay. Its 2022 acquisition of TCGPlayer was quickly followed by a contentious union battle, leadership departures and restructuring, raising questions about the scope and effectiveness of eBay's labor due diligence before closing the deal.

The cyberstalking DPA specifically included enhanced compliance monitoring for mergers and acquisitions due diligence and risk assessment, despite the criminal case itself having nothing to do with an acquisition.

The DPA did not identify WHI, TCGPlayer or any other acquisition as the reason M&A due diligence was included in the compliance requirements.
